We aim to keep these Terms clear, transparent, and easy to understand.
Thank you for choosing our software. These Terms apply to our products DS Local Deployer and OpenClaw Ultra:
- DS Local Deployer – A locally deployed AI model runner. Sections I–IV and VI–VII of these Terms apply to its use.
- OpenClaw Ultra – A subscription-based AI gateway service with managed deployment and Managed API Access. All sections of these Terms (I–VII) apply in full.
The following terms explain how this Service works and the responsibilities of both parties.
By purchasing or using this Service, you agree to these Terms.
According to the relevant provisions of the Law on the Protection of Minors, users under the age of 18 must read these Terms under the full supervision of a legal guardian, and any authorization to use this Service must be completed by the guardian.
I. Product Architecture and Data Security
1. Data Privacy and Security
Both DS Local Deployer and OpenClaw Ultra follow a "Local-First" philosophy. Your sensitive data, including
conversation history, session memory, and configuration files, are stored locally on your device in open
formats. This ensures you have full ownership and control over your data, significantly reducing the risks
associated with centralized cloud storage. All locally stored data is protected with encryption to prevent
unauthorized access or tampering.
2. DS Local Deployer – Pure Local Operation
DS Local Deployer is designed for fully offline, local deployment. Regardless of your network
conditions—even in remote areas or places with poor or no internet access—it is designed to continue
operating locally. It runs supported AI models (including DeepSeek, Qwen, Llama, Phi) locally on your
machine, free from network limitations and helping maintain accessibility without relying on cloud
connectivity. The software also optimizes performance based on your local hardware configuration, making
full use of your machine's computing power to reduce latency and improve efficiency when processing data or
performing tasks.
3. OpenClaw Ultra – Gateway & Model Flexibility
OpenClaw Ultra acts as a flexible gateway between you and various large language models (LLMs). With an
active subscription, you can use the service directly without needing to prepare your own API keys — the
subscription includes Managed API Access. After the subscription period ends, your local deployment remains
intact and functional. You may continue using the software with your own API keys by connecting to providers
such as OpenAI, Anthropic, or other compatible services, giving you ongoing flexibility and control over
your costs.
4. OpenClaw Ultra – Hybrid Automation
OpenClaw Ultra's performance is driven by its advanced automation framework and specialized "Expert Agents."
While core AI inference may happen on remote servers (depending on your chosen model), it executes
high-precision tasks—such as file operations, browser automation, and multi-tool integrations—directly from
your machine. This hybrid approach enables more reliable task execution and streamlines repetitive tasks
more effectively than generic web-based chatbots.
II. Legal and Compliance
1. Open Source License Compliance
The AI models used in this software (including but not limited to DeepSeek, Qwen, Llama, Phi, and OpenClaw)
are protected under their respective open source licenses and remain the intellectual property of their
original creators. We utilize these models strictly within the permitted scope of their licenses and do not
claim any ownership of them. Users are not allowed to replicate, modify, distribute, or conduct secondary
development of these models without proper authorization from the original rights holders.
We have implemented full compliance with all applicable open source licenses, retaining required copyright notices and complying with applicable open-source license obligations.
2. Code Independence and Feature Compliance
The core software code is independently developed by our team. While third-party AI models are used as part
of the system's capabilities, our feature implementation, business logic, and interface design are original
and distinct from any official software released by the model creators.
All components aside from the AI models themselves—including local deployment architecture, data processing, and UI design—are entirely proprietary and do not infringe on any third-party intellectual property.
3. Trademark Usage Regulation
This software does not intend to use or imply association with any trademarks of the model creators. Any
reference to "DeepSeek", "Qwen", "Llama", "Phi", "OpenClaw", or other model names is solely for the purpose
of identifying the model source. Our UI and marketing materials do not contain any misleading or
trademark-infringing content.
We do not claim official partnership, endorsement, or authorization from any model provider. All references are technical in nature and legally compliant.
4. Legal and Regulatory Compliance
We operate in full compliance with applicable local and international laws, including applicable consumer
protection, privacy, and cybersecurity regulations. We safeguard your right to information, choice, and fair
trade, and we clearly inform users of their rights and obligations in all registration and agreement
documents.
5. Data Security and Privacy Protection
We adopt advanced technologies and strict management measures to ensure data security and prevent misuse. We
do not engage in any unauthorized acquisition or modification of the AI models. Security checks, intrusion
detection, and access control mechanisms are regularly implemented to protect user data integrity.
Access to service-related data is restricted and protected through internal security controls.
III. Pricing and Service Charges
1. Open Source License Compliance
The open source licenses under which the AI models are released permit commercial use. Our service fees
apply only to added-value services around local deployment and functionality enhancements—never to the AI
models themselves. All licensing information is transparently provided.
2. DS Local Deployer – One-Time Purchase
DS Local Deployer is available as a one-time purchase that grants permanent use of the software. This
includes local model execution, hardware optimization, offline capability, and all core features. No
recurring subscription is required.
3. OpenClaw Ultra – Subscription Model
OpenClaw Ultra operates on a monthly subscription basis. The subscription includes managed deployment
services and Managed API Access, allowing you to use the service directly without needing to prepare your
own API keys. Subscription details, including pricing and usage limits, are described in Section V of these
Terms.
4. Added Service Value
Both DS Local Deployer and OpenClaw Ultra include the following value-added services. We invest significant
technical effort to optimize model compatibility for local hardware, lowering system requirements. With a
user-friendly interface, enhanced features, and continuous updates, our fees reflect the value of these
services. These include:
- Hardware adaptation and performance tuning
- Custom UI and encryption modules
- Ongoing maintenance, version updates, and technical support
- Compliance-oriented development and operational practices
These services are independently developed and do not conflict with the open-source nature of the AI models.
5. Fair Pricing and Consumer Protection
We set fees based on market norms and provide clear, upfront pricing with detailed service descriptions.
Users can make informed decisions before purchase.
IV. Usage Limitations and User Responsibilities
1. Authorized Use
Users may only access this software's functionality within the authorized scope. Reverse engineering,
unauthorized distribution, or any use beyond the granted license is strictly prohibited. Violations may
result in account suspension or legal action.
2. Disclaimer of Liability
We disclaim liability for any IP disputes arising from user misuse of the AI models. Any disputes related to
this Service shall be handled under the applicable jurisdiction where our company operates.
V. Subscription Services and Fair Use Policy (OpenClaw Ultra)
1. Monthly Subscription Package
The OpenClaw Ultra monthly subscription includes two core components:
- Deployment Services – Managed hosting and one-click deployment infrastructure, designed to keep your deployment accessible, stable, and easy to maintain.
- Managed API Access – Access to prioritized API resources with higher rate limits and prioritized request handling for advanced and high-frequency usage scenarios.
With one-click deployment, you can go from purchase to a running instance in minutes without any manual configuration.
2. Fair Use and Rate Limits
To maintain service stability for all users, the Managed API Access is subject to reasonable rate limits and
monthly usage caps. The specific limits depend on your subscription tier and are displayed on the pricing
page. Excessive usage that significantly exceeds typical patterns (e.g., programmatic scraping, bulk
non-interactive requests) may result in throttling or, in extreme cases, suspension of API access. If you
require higher throughput, please contact us for custom enterprise plans.
3. No Refund for Overuse Violations
If your access is suspended due to violation of fair use policies, no refund will be issued for the
remaining subscription period.
VI. Support, Refund and Cancellation Policy
1. Technical Support

only. For inquiries about installation, usage, or troubleshooting, please contact us with relevant details.
Feature requests may be submitted to the same address; we will consider all reasonable requests but are not

2. DS Local Deployer – Refund Policy
DS Local Deployer is a one-time purchase product. If you encounter persistent technical issues that we are
unable to resolve after reasonable efforts, please contact us to discuss appropriate resolution options,
which may include a refund at our discretion. Refund requests based solely on a change of mind or
incompatibility that could have been verified prior to purchase may not be eligible.
3. OpenClaw Ultra – Subscription Cancellation
You may cancel your OpenClaw Ultra subscription at any time before the next renewal date. To cancel, visit

or contact [email protected]. Once a renewal payment has been processed, the corresponding subscription term
is non-refundable. If you encounter unresolvable technical issues with the subscription service, please
